Terms and Conditions of the website or Apps and FAS services (“T&C”) serves as an agreement between you as the user of Enabler service (“Seller”) and PT. Global Distribusi Pusaka (“FAS”) in the use of the website or apps or FAS services.
In continuing to use FAS services, you as the Seller has read and agreed to all the terms and conditions as shown:
- Procedure for FAS Services
FAS services will be carried out based on the following procedure:
- SELLER registers their Products through FAS or other application that was made or will be made later, according to the instructions from FAS;
- FAS is entitled to sort and determine the Products and the amount of product submitted by the SELLER to be sold through FAS.
- SELLER shall deliver all the approved Products to GDN warehouse specified in the CF.
- FAS is responsible for the fulfillment process of Customers Order for Products (picking and packing) and handing over Products to the shipping logistic partner.
- SELLER’s Rights and Obligations Specific to FAS Services
- SELLER shall deliver the Products to the FAS’s warehouse in accordance with the time and location requested by FAS.
- SELLERs shall bear all Products’ shipping costs from the SELLER’s warehouse to FAS’s warehouse, and all costs that arise as a result of Products return to SELLER’s warehouse in the event of rejected Products and/or Return.
- SELLERs is entitled to withdraw the Products at all times by sending a prior written notification at least 7 (seven) Business Days before the SELLER pick up the Products at FAS’s warehouse. If the SELLER appoints FAS to return the Products to the SELLER’s warehouse, the SELLER will be charged by the shipping costs and FAS is not liable for any of the return Products.
- If requested by the FAS, SELLERs shall provide legal documents to prove that the SELLER is authorized to sell/ provide/ distribute the Products to be consigned in FAS’s warehouse and to be sold through the Platform or other distribution and/or marketing networks owned by FAS.
- SELLERs shall withdraw expired Products from FAS warehouse within 30 (thirty) Calendar Days after receiving Products return request from FAS. All return costs will be borne by the SELLER, and the FAS is not liable for such Products.
- SELLERs is entitled to request for sales reports and stock/inventory reports for 2 (two) times in 1 (one) month. Exceptions can be given on a case-by-case basis, with FAS’s approval.
- SELLER is responsible for obtaining all necessary permits (including but not limited to BPOM license for food and drugs, or SNI for certain Products), and/or other licenses necessary to be able to sell/distribute such Products in the territory of Republic of Indonesia, and is also liable to bear all costs required to obtain such permits. Therefore, the SELLER exempts FAS from all responsibility and guarantees to compensate all losses that FAS may incur in connection with the product and all activities in the FAS conducted by FAS under this Seller Cooperation Agreement.
- FAS's Rights and Obligations Specific to FAS Services
- FAS is entitled to sort SELLER’s Products to be consigned to FAS’s warehouse.
- FAS is entitled to return Aging Products, damaged product or defect product to the SELLER in accordance with the provisions stipulated in this Provision and the SELLER will bear all costs arise from such return
- FAS is responsible for the Products belonging to the SELLERs that are consigned in the FAS’s warehouse. In the event of Products stolen or lost while the Products are in FAS’s control, FAS is obliged to purchase stolen or lost product from the SELLER.
- FAS is responsible for damaged Products that occur while the Products are in FAS's control and/or may be proven as a result of FAS’s fault/negligence. In the event of product damaged due to the quality of the Products (manufacturing defect) FAS is entitled to return the Products to the SELLER without being subjected to any fees.
- FAS shall process the fulfillment and delivery of Order directly to the Customer, and all transactions will be recorded electronically.
- FAS is entitled to review the sales performance of SELLER’s Products that are consigned in the FAS’s warehouse every month, and FAS by its own consideration has is entitled to reject and/or return any noncompetitive Products (Aging Products and High Inventory Product) by giving a written statement.
- FAS is fully entitled to and the SELLER authorizes FAS to take any actions, including to discharge Products from FAS’s warehouse or to destroy the Products within 30 (thirty) Calendar Days after FAS notifies / request for product return to the SELLER of damage/defect Products/Aging Product/expired Products/Products fail Quality Control, if the SELLER does not response/SELLER does not pick up/SELLER does not appoint FAS to return such product to SELLER’s warehouse.
- Products Delivery and Hand Over Process
- Specific for the Products listed in the List of Dangerous Goods, the SELLER shall notify FAS in advance regarding to such Products along with a Material Safety Data Sheet (MSDS) document.
- Specific to fragile Products, SELLERs shall notify FAS in advance before delivering such Products to FAS’s warehouse. SELLER shall bear all risks and release FAS from any responsibility regarding fragile Products shipments to customer.
- Delivery of Products to FAS’s warehouse is the responsibility of the SELLER. SELLERs shall store, maintain and ensure Products’ cleanness, safety and security until such Products arrive at FAS’s warehouse.
- SELLERs shall submit a written notification to FAS if a delivery delay occurs or a delivery delay is estimated to occur (due to the following, but not limited to embargo or flight delay) or if the SELLER fails to deliver the Products to FAS’s warehouse (due to the following, but not limited Products stolen or damaged). Written notification shall be submitted no later than 7 (seven) Business Days after a delivery delay or failure occurs/estimated to occur.
- In the event of delivery failure, the Parties will determine the redelivery schedule to FAS’s warehouse. Products that will be redelivered by the SELLER to the FAS shall be in a good condition.
- SELLERs shall carry the Run Sheet in each Products delivery to FAS’s warehouse, along with the information of the amount of product and packages’ dimension and provide the identity labels for every package.
- FAS will perform the Quality Control process of the Products delivered to the FAS’s warehouse ("QC Process"), and is entitled to reject and return Products to the SELLER and all return costs will be borne by SELLER, if:
- Product’s specification does not match the administrative documents of the Products (unmatched amount and/or type);
- Product’s quality is below the quality standards set by FAS;
- Product is not new;
- Defective or damaged product
- FAS will send a written notice to the SELLER no later than 7 (seven) Business Day since the received date of the Products. SELLER is obliged to pick up rejected Products no later than 30 (thirty) Calendar Days in accordance with Letter C point 7 this Provision.
- Products that can be accepted by FAS are those meet the following requirements:
- Product is in a new condition, is neatly sealed, is complete, is clean, is not broken and is not damaged;
- Product’s packaging must be intact, is not dented, is not torn apart, has not been opened, and is clean;
- Products received matched with the Products’ description agreed upon by FAS;
- Products with expiration date shall comply with the provision as stipulated in Letter F of this Provision;
Products are not listed in the List of Prohibited Goods/Services to be Sold on FAS.
- FAS will store product’s stock information, Products descriptions, including IMEI (International Mobile Equipment Identity) electronically, thus such information can be used to track and identify the amounts of Products consigned.
- FAS is entitled to regulate and change at all times, the provisions on schedule, prohibitions, and product’s stock limits in FAS service and SELLER will comply with such provisions and its changes.
